Terms & Conditions

1.    Parties. For the purposes of this Agreement, you (the purchaser) are referred to as “Client.” Seller, Carrie Roseman Photography LLC, is referred to as “Photographer.”

2.    Payment and Charges. For the purposes of this Agreement, Session Retainer refers to the initial payment made to secure Photographer’s services and time. Session Retainer may be the first installment payment of total package cost and/or refer to the paid in full payment for the package of the Client’s choosing.

  • A)   Installments: Client shall pay the Non-Refundable Session Retainer (first of three installments of package cost) at the time Client executes this Agreement.  Upon Client’s execution of this Agreement and Photographer’s receipt of Session Retainer, Photographer will reserve time for all appointments including (but not limited to) Photo Shoot Date and Time, exclusively for Client. Installment fee schedule is as follows: first installment due upon booking/execution of this agreement, second installment due at the Wardrobe Consultation, third and final installment due on or by the Photo Session Date. Installments will require a credit card to be held on file and run on the dates of the appointments as outlined above.

  •  B)   Paid-in-Full: Client shall pay the Non-Refundable Session Retainer (paid in full total package cost) at the time Client executes this Agreement.  Upon Client’s execution of the Agreement and Photographer’s receipt of Session Retainer, Photographer will reserve Session Date and Time exclusively for Client.

  •  C)   Gift Certificates: Gift Certificates may be applied towards Client’s chosen package, and Gift Certificate amount will be applied to final payment. Gift Certificate owners are subject to pricing/fee schedule at the time of use. Gift Certificates are not redeemable for cash and are non-refundable. Gift certificates may not be used for Fresh Face Friday. Gift certificates do not expire.

3.     On Time Arrival. Client understands that if they are more than 15 minutes late to the Planning/ Wardrobe Consultation, Photography Session, or Reveal, Photographer has the right to refuse service. Failure to appear at appointments on time may result in a $150 reschedule fee.

4.   Rescheduling.  If Client reschedules any appointments included in the Photo Shoot Experience, including but not limited to the wardrobe consultation, the photo shoot session, and/or the Reveal Appointment, a minimum of 7 days notice is required to reschedule appointment/session. Failure to provide such rescheduling notice will result in a $150 reschedule fee. For photo shoot session reschedule requests, a new date will be reserved that is within 1 calendar year of the original photo shoot date.

 5.   Termination. This agreement does not allow for termination. If the client chooses to end participation prior to the completion of the package, Client will not receive a refund and will be responsible for completing the payment installments as outlined in paragraph 2A.

 6.    Reveal and Purchasing Appointment.  Photographer will schedule a Reveal and Purchasing Appointment approximately two (2) weeks after the Photo Shoot date to present images. During this appointment, Client may choose the images included in their purchased package from the images presented at this meeting. At this Appointment, Client may upgrade or add on to their package by purchasing additional Products defined as (but not limited to) printed photographs, digital images, and/or Wall Art. Anyone involved in the purchasing decision of additional Products must be present and/or notified prior to this event. Photographer retains the right to select the photographic materials shown to the Client. Client understands that the Photographer will not deliver every exposure from the Session. The images that are purchased will be treated with signature retouching.

7.    Refunds/Returns. Photographer does not offer refunds, returns, or exchanges. Cancellation of this Agreement by Client will not extinguish Client’s obligation to pay the package fee schedule as outlined in paragraph 2A. Photographer may cancel this agreement at any time for any reason by providing written notice to Client. In the event that Photographer cancels this Agreement, Photographer will provide a prorated refund of the package fees based on the work completed up until the cancellation date.

8.    Image Retouching and Editing.  The final images including production and editing styles, effects, and overall look are at the Photograph’s artistic discretion. Additional fees may apply for Client’s request for additional retouching and editing to the photographs.

9.    Order Image Retention.  All purchased images are retained for one (1) year after the Session Date. Any image(s) not purchased will be purged in 14 days.

10. Copyright.  All photographic materials, including but not limited to, unedited RAW files and edited JPGs, shall be the exclusive property of the Photographer. Photographer owns the copyright to all images created and has the exclusive right to make reproductions for, including but not limited to, marketing materials, portfolio entries, sample products, editorial submissions and use, or for display within or on the Photographers website, studio, etc. Any duplication or alteration of original images is strictly prohibited {Copyright Law Title 17, Appendix V. Additional Provisions of the Digital Millennium Copyright Act 2005, Section 102} without the written permission of the Photographer.

11. Client Usage.  Upon full payment of the selected Photographs or image files, Client is granted a limited license to use photographs for private and personal use only.  Photographs or image files are non-transferable and shall not be given, shared, or sold by Client to any third party without the expressed written consent of Photographer.  The Photographs shall not be submitted to contests or reproduced for any commercial use. Images may be posted online, including social media sites and on personal/business websites. Client shall make no alterations to photographs including but not limited to applying filters, changing to black and white, selective color, or cropping.   

12. Release.  Photographer will take photographs and may take video, audio recordings, and other recordings that Photographer may use for future commercial and non-commercial purposes. Client agrees and understands that by participating in a Photo Shoot Experience, Client is consenting to being photographed and recorded and to the use of the Client’s likeness and voice in any media in perpetuity by Photographer for whatever purpose the Photographer sees fit. Client understands and agrees that Client may be identified by name in printed, Internet or broadcast information that might accompany the photographs of Client. Client waives the right to approve the final product. Client understands that no royalty, fee or other compensation shall become payable to Client by reason of such use.  

13. Non-disparagement. Client agrees that during and after the purchase of Products, to refrain from making any statements, whether oral or in writing, that negatively impact Photographer’s business, services, products, or reputation. In addition, Photographer agrees to refrain from making any statements, whether oral or in writing, that negatively impact Client or Client’s business.

13. General.  This Agreement, including the exhibits attached hereto, constitutes the entire agreement between the parties regarding the subject matter stated herein, and supersedes all previous communications, representations, understandings, and agreements, either oral, electronic, or written.  This Agreement may only be modified by a writing signed by both parties.  This Agreement may be signed in one or more counterparts and delivered via facsimile or other electronic means, each of which will be deemed to be an original and all of which when taken together will constitute the same agreement.  This Agreement shall be governed by the laws of Connecticut.
